Sometimes lawyers will enter into business deals with their clients. However, some problematic situations can arise when the lawyer acts as the officer or director of a client's company, invests in a client's securities, engages in one-on-one business deals, or accepts stock instead of a cash fee.

According to the law, if someone has a duty to perform for you, and fails to do so, you have the right to be compensated for any damages that result. When you hire a lawyer, you expect to receive just representation, and the lawyer has an obligation to provide it to you.

U.S. (U-S) law states that if someone owes you a service, he or she must be careful within reason to fulfill this obligation. However, when this duty is neglected and damages result, you're entitled to be compensated.
